TERMS OF SERVICE
Last updated: September 14, 2026
These Terms of Service ("Terms") govern your access to and use of NeedleWake, including needlewake.com, app.needlewake.com, catalog monitoring, dashboards, Wake Alerts, subscriptions, and related services. By creating an account, purchasing a subscription, or using NeedleWake, you agree to these Terms and the NeedleWake Privacy Policy.
1. The NeedleWake service
NeedleWake provides catalog signal intelligence for music creators and other authorized catalog users. The service analyzes information you submit about your songs together with external search, cultural, news, trend, and other signal data to generate Wake Scores, WATCH, SLEEP, WAKE NOW classifications, monitoring history, alerts, and related recommendations.
NeedleWake is an informational decision-support tool. It does not guarantee streams, sales, playlist placement, press coverage, radio play, audience growth, revenue, campaign performance, or any other commercial result.
2. Eligibility and accounts
You must be legally able to enter into these Terms. You must be at least 18 years old, or the age of legal majority where you live, to purchase a paid NeedleWake subscription. If you use NeedleWake on behalf of a company, band, label, management company, or other organization, you represent that you have authority to bind that organization to these Terms.
You are responsible for providing accurate account information, maintaining access to the email address associated with your account, and protecting access to your account, browser session, and recovery links. You are responsible for activity performed through your account unless caused by NeedleWake's own security failure.
3. Your catalog and content
You retain ownership of artist names, song titles, descriptions, contextual information, and other content you submit to NeedleWake. You grant NeedleWake a limited, non-exclusive right to host, process, analyze, reproduce, and use that submitted information only as reasonably necessary to provide, secure, maintain, and improve the service.
You are responsible for ensuring that you have the rights and permissions needed to submit the information you provide. Do not submit confidential information, personal information about other people, copyrighted material you are not authorized to use, or other content that you do not have the right to provide.
4. Free trial, subscriptions, and billing
Eligible new NeedleWake accounts may receive a 30-day free trial of the Artist Plan after verifying the account email. No credit card or other payment method is required to activate the free trial.
The free trial does not automatically convert to a paid subscription. When the free trial ends, active monitoring may pause unless you affirmatively choose the current NeedleWake Artist Plan at $3.99 per month per artist, plus any applicable taxes. If you choose a paid plan, Stripe will securely collect the payment method and process recurring monthly renewals until cancellation takes effect.
The Artist Plan currently includes monitoring for up to 20 songs, subject to the features and limits shown at checkout and in the app. Prices, taxes, plan features, and limits may change for future billing periods. If required by law, NeedleWake will provide notice before a pricing change applies to an existing subscription.
The free trial is limited to one trial per eligible account. Ending or allowing a trial to expire does not create eligibility for another free trial. A previously trialed account may choose a paid subscription to resume active monitoring.
Paid subscriptions are processed by Stripe. Stripe may collect, store, and process payment information under its own terms and privacy notices. NeedleWake stores billing identifiers and subscription status needed to operate the paid service but does not store your full payment-card number or card security code.
5. Cancellation and refunds
The free trial does not require cancellation because there is no payment method and no automatic conversion to paid service. If you later choose a paid NeedleWake subscription, you may cancel through the Stripe billing portal linked from your NeedleWake account. Depending on the cancellation option presented in the portal, cancellation may take effect immediately or at the end of the current billing period. NeedleWake does not charge an additional cancellation fee.
Unless required by applicable law or expressly stated otherwise, subscription fees already charged are non-refundable. Canceling stops future renewal charges when the cancellation takes effect; it does not automatically create a refund for a billing period that has already been paid.
6. Monitoring results and external data
NeedleWake depends on external data, search signals, news and trend inputs, third-party services, and automated analysis. External sources can be incomplete, delayed, unavailable, inaccurate, duplicated, changed, or removed. NeedleWake may filter, weight, reject, or revise signals in order to improve reliability.
Wake Scores, WATCH, SLEEP, WAKE NOW classifications, alerts, watch terms, and recommendations represent NeedleWake's current analysis of available information. They are not statements of fact about future popularity or commercial success and should not be your sole basis for spending money or making important business decisions.
7. Acceptable use
You may not use NeedleWake to violate law; infringe the rights of others; submit information you are not authorized to provide; attempt to gain unauthorized access to accounts, systems, data, or infrastructure; interfere with or disrupt the service; bypass subscription, catalog, rate, or security controls; probe or exploit vulnerabilities; introduce malicious code; use automated means to overload or abuse the service; or misrepresent NeedleWake outputs as guaranteed results.
You may not resell, sublicense, reverse engineer, copy, or commercially exploit NeedleWake or its proprietary software, scoring logic, interface, or service outputs except as permitted by law or with written permission from NeedleWake.
8. NeedleWake intellectual property
NeedleWake and its software, design, branding, site content, scoring systems, workflows, documentation, and other proprietary materials are owned by NeedleWake or its licensors and are protected by applicable intellectual-property laws. These Terms give you a limited right to use the service; they do not transfer ownership of NeedleWake technology or branding to you.
9. Service changes, availability, and suspension
NeedleWake may add, remove, modify, pause, or discontinue features as the product develops. The service may experience maintenance, delays, outages, partial coverage, third-party failures, unavailable sources, or other interruptions.
NeedleWake may suspend or terminate access when reasonably necessary to protect the service, investigate fraud or abuse, respond to legal requirements, address nonpayment, or enforce these Terms. Where practical, NeedleWake may provide notice and an opportunity to correct the issue.
10. Third-party services
NeedleWake uses third-party services and infrastructure, which currently include Cloudflare, Stripe, Resend, Apify, and external search, news, trend, and data providers. Your use of certain third-party features may also be subject to those providers' terms and policies. NeedleWake is not responsible for third-party services that it does not control.
11. Disclaimer of warranties
To the maximum extent permitted by law, NeedleWake is provided on an "as is" and "as available" basis. NeedleWake disclaims warranties that the service will be uninterrupted, error-free, completely accurate, or suitable for every promotional or business decision. Nothing in these Terms excludes warranties or rights that cannot legally be excluded.
12. Limitation of liability
To the maximum extent permitted by law, NeedleWake will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, opportunities, goodwill, data, promotion spend, or expected music performance arising from or related to the service.
To the maximum extent permitted by law, NeedleWake's total aggregate liability arising from or related to the service will not exceed the amount you paid to NeedleWake during the six months immediately before the event giving rise to the claim. This limitation does not apply where applicable law prohibits it.
13. Indemnification
To the extent permitted by law, you agree to defend, indemnify, and hold NeedleWake harmless from third-party claims, losses, liabilities, and reasonable costs arising from content you submit, your misuse of the service, your violation of these Terms, or your infringement of another person's rights.
14. Changes to these Terms
NeedleWake may update these Terms as the service changes. When material changes are made, NeedleWake will update the date above and may provide additional notice when appropriate. Continued use of the service after updated Terms become effective constitutes acceptance of the revised Terms to the extent permitted by law.
15. Applicable law and non-waivable rights
These Terms are subject to applicable law. Nothing in these Terms limits consumer-protection, privacy, payment, or other rights that cannot legally be waived. If any provision is found unenforceable, the remaining provisions will continue in effect to the extent permitted by law.
